Terms of Service

These Terms of Service ("Terms") govern your access to and use of the InvoiceFlow platform. By registering for an account, you agree to be bound by these Terms and our Privacy Policy.

1. Account Registration & Eligibility

To use InvoiceFlow, you must be a registered entity (MSME) or a verified individual/institutional investor in India. You must complete our Know Your Customer (KYC) process, which requires valid Aadhaar and PAN documentation. You are responsible for maintaining the confidentiality of your account credentials.

2. Platform Mechanics

InvoiceFlow acts as a technological facilitator between MSMEs seeking working capital and Investors seeking yield. We do not act as a bank or NBFC.

• For MSMEs: Uploading an invoice constitutes a request for financing. Once approved and fully allocated, you agree to the associated discount rate and platform fees. Pre-closures are permitted subject to exact daily interest recalculations.
• For Investors: Allocating capital is at your own risk. While we rigorously verify MSMEs and invoices, all debt carries inherent default risks. InvoiceFlow does not guarantee returns or the prevention of delayed settlements.

3. Fees and Settlements

InvoiceFlow charges a transparent 1% platform fee on successfully funded invoices. All calculations for yields, fees, and pre-closures are based on exact calendar days (Act/365). Settlements are executed automatically upon invoice maturity via integrated banking partners. Any banking delays are outside the platform's control.

4. Prohibited Activities

Users may not:

• Submit fraudulent, forged, or duplicate invoices.
• Attempt to bypass our security measures or RLS database policies.
• Use the platform for money laundering, terrorist financing, or any illegal activities.

Violation of these rules will result in immediate account termination and reporting to the relevant authorities.

5. Limitation of Liability

InvoiceFlow is provided "as is". To the maximum extent permitted by law, InvoiceFlow Financial Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the platform, including but not limited to loss of profits, data, or goodwill.
